Terms of Use
Last updated October 29, 2026. These terms take effect on that date.
1. Who we are and what these terms cover
EnviroDesk is a web application run by Innovative Environmental Solutions Inc. (“IES”, “we”, “us”), an environmental consulting firm based in Wisconsin. EnviroDesk is at iesenvirodesk.com.
These terms are a contract between you and IES. They cover your use of EnviroDesk, including the regulatory library, projects, teams, emissions tools, file sharing, and the emails EnviroDesk sends. By creating an account, signing in, or using EnviroDesk, you agree to them. If you do not agree, do not use EnviroDesk.
If you use EnviroDesk on behalf of a company or other organization, you confirm that you have the authority to accept these terms for it, and “you” includes that organization. We call that organization your “company” below.
Consulting work and other paid services from IES are governed by the proposal, purchase order, engagement letter, or other written agreement for that work. If one of those documents conflicts with these terms, that document controls for that work. These terms still govern your use of the EnviroDesk application itself.
2. Who may use EnviroDesk
EnviroDesk is a business tool. You must be at least 18 years old and using EnviroDesk for work purposes. You may not use EnviroDesk if you are barred from doing so under United States law.
3. Companies, administrators, and teams
Most of what you see in EnviroDesk belongs to a company. A company's administrators decide who can join it, what role each person has, and what those people can see. If your company invites you, your company and its administrators are responsible for those decisions, and you should direct questions about access to them.
IES sets up some companies and their workspaces directly as part of a consulting engagement. In that case IES staff may also act as administrators for that company.
Teams let people from different companies work together on shared projects and documents. Anything you add to a team can be seen by the other members of that team, including people outside your company. Think before you share.
4. Your account
- Give us accurate information when you register and keep it current.
- Keep your password and sign-in details private. You are responsible for everything done through your account, so turn on two-step sign-in and use a strong password.
- Tell us right away at nickcoffman@the-ies-inc.com if you believe your account has been accessed without permission.
- One person per account. Do not share an account or let someone else use yours.
- If you sign in with Google or Microsoft, their terms also apply to that sign-in. You can disconnect either one in Settings.
5. Acceptable use
Do not:
- access any account, company, team, or data that you are not authorized to see;
- upload or share anything that is unlawful, that infringes someone else's rights, or that you do not have the right to share;
- upload malware or anything designed to damage or interfere with EnviroDesk or anyone's systems;
- probe, scan, or test the security of EnviroDesk, or try to get around its access controls, except with our prior written permission;
- send spam or unsolicited messages through EnviroDesk, or use it to harass anyone;
- scrape or bulk-download EnviroDesk content, or use automated tools to access it, except through features we provide for that purpose;
- copy, modify, reverse engineer, or resell EnviroDesk, or use it to build a competing product;
- misrepresent who you are or who you work for.
We may investigate suspected misuse and may remove content or suspend accounts to protect EnviroDesk and its users.
6. Your content
You and your company keep ownership of the files, data, notes, and other content you add to EnviroDesk (“your content”). You give IES a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit, display, and back up your content, but only as needed to run EnviroDesk, keep it secure, provide services you or your company ask for, and comply with the law. This license ends when your content is deleted from EnviroDesk, except for copies kept in routine backups or as the law requires.
You are responsible for your content. You confirm that you have the rights needed to upload it and to share it with the people you share it with in EnviroDesk.
If you send us ideas or feedback about EnviroDesk, we may use them without any obligation to you.
7. Files and other services
Files uploaded to EnviroDesk are stored in a Microsoft SharePoint site that IES manages for your company. Microsoft's terms and privacy practices apply to that storage. IES controls access to those sites through EnviroDesk.
Google and Microsoft sign-in, and any other third-party service you connect to EnviroDesk, are provided by those companies under their own terms. We are not responsible for their services or for outages on their side.
8. Regulatory information and emissions tools
EnviroDesk includes regulatory text, summaries, annotations, and emissions calculators to support your compliance work. This material is provided for information. Regulations change, and the text in EnviroDesk may not reflect the latest amendment, your facility's permit conditions, or your specific facts. Calculator results depend on the data you enter and the methods selected.
Nothing in EnviroDesk is legal advice, and the application itself does not create a consulting or professional relationship with IES. You remain responsible for your compliance decisions and for checking anything you submit to a regulator.
When IES engineers answer questions through the “Ask IES” feature, write determinations, or do other consulting work for your company, that work is a professional service governed by the written agreement for it (section 1), not by the application.
9. Beta features, free use, and changes to EnviroDesk
EnviroDesk is in active development. Some features are offered free during a beta period. We may add, change, limit, or remove features, change what is free and what is paid, and change these terms, as described in section 20. We will try to give reasonable notice of changes that significantly affect you. EnviroDesk may sometimes be unavailable for maintenance or for reasons outside our control.
10. Fees
Using the EnviroDesk application is currently free for the tiers marked free in the app. Consulting services, “Ask IES”, and other paid work are arranged through a proposal and purchase order or another written agreement with IES, which states the fees. You are responsible for any taxes on those fees other than taxes on IES's income.
11. IES property
EnviroDesk, including its software, design, text, graphics, the Leafy character, and the EnviroDesk and IES names and logos, belongs to IES or its licensors and is protected by copyright, trademark, and other laws. We give you a limited, non-exclusive, non-transferable right to use EnviroDesk under these terms. No other rights are granted. Regulatory text from government sources is not claimed by IES.
12. Copyright complaints
If you believe content in EnviroDesk infringes your copyright, email nickcoffman@the-ies-inc.com with: a description of the work, where the content is in EnviroDesk, your contact details, a statement that you believe in good faith that the use is not authorized, a statement under penalty of perjury that you are the owner or authorized to act for the owner, and your physical or electronic signature. We may remove content that we believe infringes and may close the accounts of repeat infringers.
13. Confidentiality
We treat your company's content in EnviroDesk as confidential. We use it only as described in these terms, in our Privacy Policy, and in any written agreement with your company, and we share it only with people your company has given access to, with the service providers listed in our Privacy Policy, and as the law requires.
14. Ending your use
You can stop using EnviroDesk at any time and can ask us to close your account. Your company's administrators can remove you from the company. We can suspend or close an account, company, or team if we reasonably believe it breaks these terms, puts EnviroDesk or other users at risk, or has been inactive for a long period, and we will tell you when we do unless the law prevents it or the situation is urgent.
When your use ends, your right to use EnviroDesk ends. Your company can ask us for a copy of its content within 30 days after its access ends. We handle personal information after an account closes as described in our Privacy Policy. Sections 6, 8, 11, and 13 through 19 survive.
15. Disclaimer of warranties
Except as stated in a separate written agreement with IES, EnviroDesk is provided “as is” and “as available”. To the fullest extent the law allows, IES disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that EnviroDesk will be uninterrupted, error-free, or secure, or that its content is complete or current.
16. Limitation of liability
To the fullest extent the law allows:
- IES is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising from or related to EnviroDesk or these terms, however caused and under any theory of liability, even if we were told such damages were possible.
- IES's total liability for all claims arising from or related to EnviroDesk or these terms is limited to the amount your company paid IES for EnviroDesk in the 12 months before the event giving rise to the claim, or 100 US dollars if you paid nothing.
These limits do not apply to liability that cannot be limited by law. Liability for IES consulting services is governed by the written agreement for that work.
17. Indemnity
If you use EnviroDesk for a company, that company will defend and indemnify IES and its officers, employees, and contractors against third-party claims, and the resulting damages, costs, and reasonable legal fees, that arise from the company's or its users' content or from their use of EnviroDesk in breach of these terms or the law.
18. Governing law and disputes
These terms are governed by the laws of the State of Wisconsin and the federal laws of the United States, without regard to conflict of law rules. If you have a dispute with us, contact us first and we will try to resolve it informally within 30 days. If that fails, the state and federal courts located in Wisconsin have exclusive jurisdiction, and you and IES consent to that jurisdiction. Either side may seek an injunction in any court to protect its intellectual property or confidential information.
19. General terms
- Electronic communications. You agree to receive notices and other communications about EnviroDesk electronically, by email to the address on your account or by notice in the app, and you agree that electronic agreements and signatures have the same effect as paper ones.
- Entire agreement. These terms and our Privacy Policy are the entire agreement between you and IES about the EnviroDesk application, subject to section 1.
- Severability. If a court finds part of these terms unenforceable, the rest stays in effect.
- No waiver. If we do not enforce a term right away, we can still enforce it later.
- Assignment. You may not transfer these terms without our written consent. IES may transfer them to a successor in a merger, acquisition, or sale of assets.
- Force majeure. Neither side is liable for delays caused by events outside its reasonable control.
- Export. You may not use EnviroDesk in violation of United States export control or sanctions laws.
- No third-party beneficiaries. These terms do not give rights to anyone other than you, your company, and IES.
20. Changes to these terms
We may update these terms from time to time. When we do, we will change the date at the top. For changes that significantly affect your rights, we will tell you by email or by notice in the app at least 14 days before they take effect, unless the change is required by law or is needed to address a security issue. If you keep using EnviroDesk after a change takes effect, you accept the updated terms. If you do not agree, stop using EnviroDesk and ask us to close your account.
